ADIB board approves proposal for Dh1.75 billion rights issue

ABU DHABI (ALETIHAD)

The Board of Directors of Abu Dhabi Islamic Bank (ADIB) has approved in principle a proposal to raise Dh1.75 billion through a rights issue to support the bank’s growth plans under its Vision 2035 strategy.

The proposed issuance remains subject to shareholder and regulatory approvals, including approval from the Central Bank of the UAE, the bank said in a statement.

ADIB did not announce a timetable for the commencement of the rights issue. Further details will be disclosed after the required approvals are obtained, it added.

Under the proposal, ADIB will issue 106,383,000 new ordinary shares at Dh16.45 per share. The issue price represents a discount of approximately 28.8% to the bank’s closing share price of Dh23.10 on the Abu Dhabi Securities Exchange on August 24.

Eligible shareholders will be entitled to subscribe for approximately one new share for every 34.14 existing ADIB shares they hold, subject to the final terms and applicable rounding arrangements.

The rights issue will allow existing shareholders to participate in the bank’s planned growth and maintain their proportional ownership by subscribing for their respective entitlements.

ADIB said its major shareholders had confirmed their intention to participate in the rights issue and subscribe for their entitlements. The proposed capital raising follows several years of business and asset growth at the bank.

ADIB’s total assets reached Dh304 billion at the end of the first half of 2026, crossing Dh300 billion for the first time after recording asset growth of 24% in 2025.

The bank’s return on equity reached 28% in 2024 and 29% in 2025 before standing at 28% in the first half of 2026.

Jawaan Awaidha Suhail Al Khaili, Chairman of ADIB, said the bank had delivered several years of consistent growth, supported by the strength of its franchise and its focus on shareholder value.

“As we advance Vision 2035, we are building on this momentum and taking ADIB from strength to strength,” Al Khaili said. “The proposed rights issue reflects our confidence in the opportunities ahead and in the bank’s ability to continue delivering sustainable long-term value for our shareholders.”

Mohamed Abdelbary, Group Chief Executive Officer of ADIB, said the bank had maintained profitable growth and a stable dividend policy while generating strong returns.

“Our return on equity reached 29% in 2025 and remained at an industry-leading 28% in the first half of 2026, reflecting the strength of our business model and disciplined execution,” Abdelbary said.

Crossing Dh300 billion in total assets represented an important milestone and reflected the expansion of ADIB’s business and customer franchise, he added.

“The proposed rights issue reflects the opportunities we see ahead and our confidence in the bank’s long-term growth prospects,” Abdelbary said. “Our focus remains on sustaining healthy and profitable growth, deploying capital efficiently and continuing to deliver attractive and sustainable long-term returns for our shareholders.”
