Talabat Holding said its Dubai Financial Market listing, operations, strategy and leadership remain unchanged following Uber Technologies’ proposed takeover of its German parent company, Delivery Hero.

Delivery Hero wholly owns Delivery Hero MENA Holding GmbH, which holds an 80% majority stake in talabat. That shareholding remains unchanged at present.

“As a Dubai Financial Market (DFM) listed company, talabat remains governed by its own Board of Directors and subject to the applicable regulations in the country. The company’s listing, operations, strategy, and leadership are unchanged,” talabat said.

“Any corporate actions to talabat will follow its corporate governance and regulatory processes applicable to the company and its shareholders in the country.”

Under an agreement announced on July 16, Uber intends to launch a voluntary public takeover offer for all outstanding Delivery Hero shares at 41.50 euros per share in cash.

The offer is subject to acceptance by holders of at least 50% of Delivery Hero shares, excluding treasury shares held by the company, plus one additional share. It also requires merger-control and other regulatory approvals and is subject to customary conditions.

If the offer is successfully completed and receives the required approvals, Uber will become the direct owner of Delivery Hero. The transaction is expected to be completed in the second half of 2027.

Consequently, Uber would indirectly control Delivery Hero’s majority interest in talabat through Delivery Hero MENA Holding, while talabat would remain a separately listed company on the DFM.

Delivery Hero’s management and supervisory boards welcomed the proposed offer and plan to support it, subject to their fiduciary duties and a review of the formal offer document.

The proposed combination is intended to bring together Uber’s global technology platform and mobility network with Delivery Hero’s local delivery brands, vendor relationships and quick-commerce operations.

Talabat, which is headquartered in Dubai, operates in the UAE, Kuwait, Oman, Qatar, Bahrain, Jordan, Iraq and Egypt. Founded in Kuwait in 2004, it served more than seven million monthly active customers as of December 2025. The company completed its initial public offering on the DFM in December 2024.
